Hôtels en Transition SA

Hôtels en Transition Holding SA (HET) is a Swiss based holding company that finances all operations concerning hotel properties of the group.

HET owns directly 100% of :

  • H&R Nouvelle Couronne SA (hotel de la Nouvelle Couronne in Morges and hôtel du Boulevard in Lausanne)
  • H&R Les Horlogers SA (hotel des Horlogers in Geneva)
  • H&R Les Inventions SA (hotel du Parc in Ecublens)
  • H&R Lausanne 2 (hotel in Lausanne)

Strategy

HET bases its strategy on creating a modern and "boutique"  hotel collection through the acquisition of underperforming hotel buildings, their renovation and their repositionning in the 3*** segment of the hotel industry.

HET is the owner of the buildings as well as their management. It finances the renovation as well as the re-opening costs of hotels.

At maturity, HET will own 250 to 300 hotel rooms dispatched in 7 to 8 buildings.


Shareholders

HET shareholder’s capital is owned by pension funds (36%), private shareholders (21%), companies (38%) and Hôtels et Patrimoine SA (5%). Hôtels et Patrimoine benefits from a majority vote at the general Assembly.


Fund raising

Each fund raising leads to and increase of capital according to the investment opportunities chosen. The maximum capitalisation is of  20 mio CHF in equity. 
Shareholders have a right of first refusal for each subsequent increase in capital.


Annual Matching

Hôtels et Patrimoine organises an internal purchase and sale of shares (Matching) on an yearly basis. In 2010, the Matching will take place from April 1st to 30th.

The liquidity of this investment is not guaranteed. Shares are purchased or sold according to the internal demand available.


Evaluation of assets

In March of each year, HET shareholders receive:

- a fiscal and financial valuation of the group (provided by the auditors);
- a real estate expertise (provided by an independent architect).

The performance of the hotels and the yield are communicated to shareholders on a quarterly basis.
